1. Introduction

Welcome to Uchitil. These Terms & Conditions ("Terms") govern your access to and use of the Uchitil application, website, and related services (collectively, the "Service"), operated by Ikarza Ltd ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Uchitil is an AI-powered Russian language learning application that provides personalised tutoring through conversational AI chat, voice pronunciation via text-to-speech, structured lessons, vocabulary tracking, and progress monitoring. The Service is designed for learners at various proficiency levels.

3. Account Registration

To use certain features of the Service, you must create an account by signing in with Google. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must provide accurate information during registration and keep your account information up to date.

You may not share your account with others or create multiple accounts. If you become aware of any unauthorised use of your account, you must notify us immediately at hello@uchitil.com.

4. Subscriptions & Billing

The Service offers the following plans:

• Free Plan: Up to 10 messages per day, resetting daily.
• Pro Plan: $6.99 per month, with up to 500 messages per month and access to enhanced features.

Pro subscriptions are billed monthly through Stripe, our third-party payment processor. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time from your account settings, and cancellation will take effect at the end of the current billing period.

We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

When using the Service, you agree not to:

• Violate any applicable laws or regulations.
• Use the Service for any unlawful, harmful, or abusive purpose.
• Attempt to reverse engineer, decompile, or extract the source code of the Service.
• Interfere with or disrupt the Service, including bypassing rate limits or security measures.
• Use automated tools (bots, scrapers, etc.) to access the Service without our written permission.
• Share, resell, or redistribute access to the Service.
• Impersonate another person or misrepresent your identity.

6. AI-Generated Content

The Service uses artificial intelligence to generate educational content, including language lessons, translations, grammar explanations, and conversational responses. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or inconsistencies.

You acknowledge and agree that:

• AI outputs are provided for educational purposes only and should not be relied upon as the sole source of linguistic accuracy.
• The Service is not a substitute for professional language instruction or certification.
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.
• AI-generated voice output is synthesised and may not perfectly represent native pronunciation in all cases.

7. Intellectual Property

The Service, including its design, code, curriculum content, and AI models, is owned by Ikarza Ltd and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

You retain ownership of any content you provide as input to the Service (such as chat messages). By using the Service, you grant us a limited licence to process your inputs solely for the purpose of providing and improving the Service.

8. Account Termination

You may delete your account at any time from your account settings. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in abusive behaviour, or if required by law. Where possible, we will provide notice before taking such action.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, including but not limited to loss of data, loss of profits, or service interruptions.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or $100, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of competent jurisdiction.
